The Office of Legal Affairs, under the direction of the Deputy General Counsel and Senior Associate Vice President, provides legal representation and advice to the University and all of its constituent parts, including the Board of Trustees, the President, Provost, faculty and academic departments, the Office of Student Life, Advancement, Athletics, Public Safety, Business and Finance, and the Wexner Medical Center among many others. As one of the largest universities in the nation, Ohio State is a multifaceted institution, with a sophisticated and leading- edge legal practice that touches nearly every area of law, including litigation, labor and employment, public contracting, intellectual property, research and technology transfer, business transactions, taxation and benefits, administrative law, health care law, public safety and criminal law matters, federal and state constitutional and public law issues, and more.
The Associate General Counsel will provide legal advice and services in the areas of tax, estate and charitable planning, trusts, probate, and gift initiatives, with a particular dedication to the university's advancement office. The Associate General Counsel will draft, negotiate, review and provide advice on a wide range of Advancement matters, including: gift agreements, grant agreements, charitable solicitations, gift processing, donor restrictions, endowment modifications and other administrative practices; provide assistance with complex charitable giving instruments such as non-cash gifts, and related issues; assisting university employees carrying out the corporate and other work of The Ohio State University Foundation; managing trust and estate litigation matters. The Associate General Counsel will also provide legal advice and services on various transactional business including general contracting, and tax law areas, including s unrelated business income tax (UBIT), qualified sponsorships, property tax, sales tax, excise tax, tax exemption and nonprofit laws (including Form 990 and 990-T reporting), taxes related to alternative investments, and coordinate advice to the Office of Investments on tax considerations related to all investment documents. Additional responsibilities include monitoring changes to federal, state, and local tax laws; analyzing and communicating relevant changes to affected units; and assisting in implementation of required changes. The Associate General Counsel will assist with responding to IRS audits, advising on real property tax exemption applications and defending challenges to existing exemptions, and manage probate court litigation as needed. Responsibilities will also include conducting legal research and analysis, drafting and reviewing agreements, and recommending policies and procedures to promote tax compliance, and the implementation of other duties and special projects, as assigned by leadership in the Office of Legal Affairs.
Required Qualifications
Juris Doctor (J.D.), graduate from an accredited law school and be a member of the Ohio bar or eligible to practice law in the State of Ohio within one year or less. A minimum of six (6) years of legal practice. All university attorneys are expected to work at the highest professional level with integrity, excellent judgment, attention to detail, and discretion, and to demonstrate the highest personal and leadership characteristics of teamwork, inclusiveness, calmness, and adaptability to a broad range of issues, people, and situations.
Desired Qualification:
Previous legal experience advising tax-exempt organizations related to tax, charitable giving, and/or estate planning, with experience at a university highly desired. Previous experience with public entities and public law issues (such as public records law and ethics laws) is also desired.
Additional Information
The Target Hiring Range for this position is $151,300 to $197,650 per year.
